Restaurant Brands Asia (RBA), the operator of Burger King in India and Burger King and Popeyes in Indonesia, has entered a new chapter after Inspira Global completed its ?2,235 crore acquisition of the company, one of the largest transactions in India's quick-service restaurant industry.
The acquisition, executed through Inspira Global's food and beverage platform Lenexis Foodworks, follows the successful completion of the mandatory open offer, receipt of regulatory approvals and fulfilment of customary closing conditions. Following the transaction, Inspira Global now owns 41.78% of Restaurant Brands Asia and will increase its stake to 48.04% upon the exercise of warrants through an additional ?450 crore equity infusion.
The transaction also ushers in a new leadership structure. The company's board has approved the appointment of Madhusudan Agrawal as Chairman and Aayush Agrawal as a Non-Executive Director, signalling the beginning of a new ownership era for the Burger King master franchisee.
"Today marks the beginning of an exciting new chapter for Restaurant Brands Asia," Madhusudan Agrawal said, adding that the focus would be on strengthening the business with "patient capital, disciplined governance and a long-term perspective" while working alongside the existing management team.
For Inspira Global, the acquisition represents a significant bet on India's long-term food services market. Aayush Agrawal said the deal reflects the group's conviction in India's consumption story and its ambition to build "one of the most admired food service businesses in the region."
Restaurant Brands Asia said the fresh capital will be deployed to accelerate restaurant expansion, strengthen digital and technology capabilities, enhance customer experience and improve operational excellence across its markets.
Importantly, the company will continue operating Burger King in India and both Burger King and Popeyes in Indonesia under its existing master franchise agreements with Restaurant Brands International. Those franchise agreements were recently extended through 2050, providing long-term visibility for the business and reinforcing its expansion plans across both markets.
The acquisition also expands Inspira Global's presence in the food and beverage sector. Through Lenexis Foodworks, the group already operates quick-service brands including Chinese Wok, The Momo Co. and Big Bowl. The addition of Restaurant Brands Asia significantly broadens its restaurant portfolio, giving it control of one of India's largest international quick-service restaurant platforms.
